Job Description


  • We are searching for a Legal Officer whose role will oversee the legal aspects of our business, ensure the company strictly follows Nigerian law guidelines, and give legal advice to management and clients about all relevant issues.

General Duties

  • Draft and/or review legal letters, contracts and agreements, briefs, notices, circulars, correspondence, orders, reports and other legal forms from individuals, companies, government or third parties, as requested, including all our sites.
  • Checks documents or papers for compliance and correction.
  • Research and evaluate different risk factors regarding business decisions and operations.
  • Apply effective risk management techniques and offer proactive advice on possible legal issues.
  • Liaise with and assist external counsel in the discharge of their obligation.
  • File oppositions in matters where the title is being passed or property is being encumbered and there are arrears due and payable to the Company.
  • Research and prepare legal opinions on various civil matters including claims for compensation against the Company.
  • Work with Accounts on statutory documentation.
  • Work with relationship officers on clients’ management, documentations including drafting of Contract Agreements for all our sites and any other sites as instructed.
  • To maintain a database of the status of all court matters involving the Company.
  • Communicate with external parties (regulators, external counsel, public authority etc.), creating relations of trust
  • Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights, as soon as the agreement/contract has been established.
  • Register land and/or property documents with government parastatals such as Lands Bureau, Physical Planning and Urban Development (PPUD).
  • Submit weekly/quarterly reports on targets achieved and an appraisal report to the corporate affairs manager.

Compliance:

  • Review of all relevant statutory laws and regulations applicable to the Company and ensure compliance with these
  • Ensure that business activities are conducted in conformity with all applicable laws, regulations, internal policies and procedures.
  • Ensure that all regulatory permissions remain current and appropriate for business needs.
  • Continual compliance risk assessment of company practices together with the development of internal policies and procedures, compliance training and protocols.
  • Serve as liaison for all regulatory bodies as well as maintaining relationships with relevant legal bodies and trade associations.
  • Keep abreast of regulatory developments and industry initiatives and advise management accordingly.
  • Provide reporting with respect to regulatory requirements and developments
  • Develop compliance checklists and prepare compliance reports, as and when due
  • Ensuring compliance with best practices
  • Participate in Business Process Re-engineering exercises to ensure controls therein
  • Any other duties as required by the Line Manager

Legal:

  • Liaise with auditors, external lawyers, tax advisers, bankers and shareholders.
  • Preparation of compliance documentation with relevant constitutive documents for statutory, legal, regulatory purposes.
  • Liaison with all the subsidiaries within the Company’s Group, service providers, external legal advisers, and government agencies.
  • Maintenance and review of Legal Agreements
  • Developing and overseeing that the company meets its compliance obligations under relevant laws and the requirements of regulatory authorities
  • Negotiation, drafting and implementation of the terms of agreements in all business contracts and agreements.
  • Responsible for providing legal support in controlling customer complaints to mitigate the risk of litigation
  • Review all documentation that has legal implications for the company prior to signing and implementing.

Responsibilities

  • To take accurate minutes of Bi-weekly staff meetings and unit meetings or with the Directors.
  • Attend meetings and ensure briefs are well documented.
  • Ensure the filing in the cabinet of all client’s files with the requisite details and keep account of them all.
  • Open new files for new clients and ensure proper documentation.
  • Follow up on client for requisite documents for purchase.
  • Checks documents or papers for compliance and correction.
  • Source for and provide the current position on any legal issue that arises in the organization within 24 hours.
  • Send minutes and action points arising from the staff meeting to all staff within 24 hours after the close of the meeting.
  • Read and prepare contracts/agreements and send necessary comments to Corporate Affairs within 12 hours
  • Come up with staff meeting agenda and assist the Real Estate team in event planning as directed.
  • Attend to land issues such as drafting of the contract of sale, assignments, memorandum of understanding, etc.
  • Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights.

Requirements

  • Candidates should possess a LL.B Degree or a related field.
  • 3-5 years experience post-NYSC
  • Experience in the real estate industry will be an added advantage.
  • A clear focus on results

  • Preferably Female.
